Terms of Use and End User License Agreement

1. Eligibility and age

• You must be at least 14 years old to use Niero. We do not permit children under 14 to create or use an account.
• If the law where you live requires parental or guardian consent for a minor to use an online service, you may use Niero only after that consent is obtained.
• You may not use Niero if you are legally barred from receiving the service or if we previously terminated your account for serious or repeated violations.

2. Your account

• Provide accurate information, keep your credentials secure, and promptly update information that changes.
• You are responsible for activity performed through your account unless you report unauthorized access to support@niero.app without unreasonable delay.
• Do not sell, transfer, rent, or share access to an account in a way that misleads others or defeats our safety controls.

3. License to use Niero

Niero, LLC grants you a personal, limited, revocable, non-exclusive, non-transferable license to install and use the app for its intended purpose, subject to these Terms. You may not reverse engineer, scrape, interfere with, resell, or exploit the service except where applicable law expressly permits it.

4. Your content and the license you give us

• You retain ownership of content you create and submit. You are responsible for having the rights and permissions needed to post it.
• You grant Niero, LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt for technical formatting, transmit, display, and distribute your content only as needed to operate, secure, moderate, improve, and promote Niero and to make your content available according to your settings.
• This license ends when your content is deleted from our active systems, except for reasonable backup, security, legal-compliance, evidence-preservation, and content already shared by others where continued retention is permitted by law.
• You must not post confidential information, personal data, or images of another person unless you have a lawful basis and any permission required to do so.

5. Prohibited content and conduct

• Do not post or facilitate child sexual abuse or exploitation, grooming, sexual content involving minors, non-consensual intimate imagery, human trafficking, credible threats, terrorism, or instructions for serious violence.
• Do not harass, bully, stalk, dox, impersonate, defraud, spam, manipulate engagement, evade enforcement, or use Niero to violate another person’s privacy or intellectual-property rights.
• Do not upload malware, probe security, interfere with the service, collect data through unauthorized automation, or use Niero for unlawful activity.
• Our Community Guidelines form part of these Terms and provide more detail.

6. Moderation, reporting, blocking, and appeals

• Niero may review, limit distribution of, label, mute, remove, preserve, or disclose content, and may warn, restrict, suspend, or terminate accounts, when reasonably necessary to enforce these Terms, protect users, comply with law, or protect the service.
• Users can report content or accounts and block other users through the app. Reports are prioritized according to severity and available evidence; response times are not guaranteed.
• Where an appeal is available, send the account or content identifier and the reason for appeal to support@niero.app. Restoration is not guaranteed.

7. Copyright and repeat infringers

• Only upload material you created or are authorized by law or the rights holder to use. This includes music, sound recordings, photos, videos, artwork, text, trademarks, and clips from other services.
• Niero responds to copyright notices and counter-notices as described in the Copyright and DMCA Policy. We may remove or disable content without prior notice and may preserve relevant records.
• Accounts of repeat infringers will be terminated in appropriate circumstances. We may also restrict uploads or remove content for serious infringement even without a prior strike.

8. Purchases and platform terms

• Digital purchases are processed by Apple, Google, or another identified payment provider and are also governed by that provider’s terms and refund rules.
• These Terms are between you and Niero, LLC, not Apple or Google. To the extent required by the applicable platform, the platform and its subsidiaries are third-party beneficiaries of the end-user license terms and may enforce them.
• Niero, LLC, not the platform provider, is responsible for the app, support, and claims relating to the app, subject to these Terms and applicable law.

9. Third-party services

Niero may link to or rely on third-party services. Their terms and privacy practices govern their services. Niero, LLC is not responsible for third-party services it does not control.

10. Suspension and termination

You may stop using Niero and delete your account. We may suspend or terminate access for violations, safety risks, legal requirements, fraud, prolonged inactivity, or service discontinuation. Provisions that by their nature should survive termination remain effective, including ownership, disclaimers, limitations, dispute terms, and accrued obligations.

11. Disclaimers

Niero is provided “as is” and “as available.” To the fullest extent permitted by law, Niero, LLC disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise uninterrupted operation, that all harmful content will be detected, or that user content is accurate.

12. Limitation of liability

To the fullest extent permitted by law, Niero, LLC and its officers, members, employees, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of data, profits, goodwill, or opportunities. Nothing in these Terms excludes liability that cannot lawfully be excluded.

13. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Niero, LLC and its personnel from third-party claims arising from your content, your unlawful use of Niero, or your material breach of these Terms. This does not require indemnity for Niero, LLC’s own unlawful conduct.

14. Governing law and disputes

These Terms are governed by Delaware law and applicable United States federal law, without regard to conflict-of-law principles. Subject to mandatory consumer protections and jurisdiction rules where you live, disputes will be brought in the state or federal courts located in Delaware. This section does not prevent either party from seeking urgent injunctive relief in a court with jurisdiction.

15. Changes and general terms

• We may update these Terms. We will provide reasonable notice of material changes when required and will identify the effective date. Continued use after the effective date constitutes acceptance where permitted by law.
• If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Niero, LLC may assign them as part of a merger, financing, reorganization, or sale of the service.
